Terms of Service

1. Acceptance of Terms

By accessing or using ParentSync ("the Service"), operated by Vinrays Solutions LLC ("we", "us", or "ParentSync"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. These terms apply to all users of the platform, including school administrators, teachers, parents, and any other authorized users.

2. Description of Service

ParentSync is a multi-tenant SaaS platform that facilitates communication between schools and parents. Schools subscribe to the platform to manage students, staff, classes, and groups, and to send messages to parents via web and mobile applications. The Service is available at parentsync.net (website) and parentsync.app (application), as well as through iOS and Android mobile apps.

3. User Accounts

Schools create and manage accounts on the ParentSync platform. By subscribing, the school agrees to:

  • Provide accurate and complete information during registration and onboarding.
  • Ensure that only authorized personnel (school staff, teachers) are granted access to the school's portal.
  • Be responsible for all activity that occurs under the school's account, including content sent by staff and teachers.
  • Maintain the confidentiality of login credentials and notify us immediately of any unauthorized access.

4. Content Standards

All users must comply with our Acceptable Use Policy, which defines prohibited content and conduct on the platform. By using the Service, you agree to adhere to these standards. Violations may result in content removal, account suspension, or termination.

5. Content Moderation

To maintain a safe communication environment for schools and families, ParentSync employs automated content moderation:

  • Messages may be scanned by AI-powered systems to detect content that violates our Acceptable Use Policy.
  • Content that violates our policies may be automatically blocked or flagged for review.
  • Flagged content may be reviewed by school administrators to determine appropriate action.
  • We reserve the right to remove any content that violates these Terms or our Acceptable Use Policy without prior notice.

6. Intellectual Property

Platform ownership: ParentSync, including its software, design, logos, trademarks, and documentation, is the intellectual property of Vinrays Solutions LLC. You may not copy, modify, distribute, or reverse-engineer any part of the platform without our prior written consent.

User content: Users retain ownership of the content they create and send through the platform (messages, attachments, etc.). By using the Service, you grant ParentSync a limited, non-exclusive license to store, transmit, and display your content solely for the purpose of providing the Service.

7. Limitation of Liability

ParentSync is a communication platform and acts as an intermediary between schools and parents. We are not liable for the accuracy, legality, or appropriateness of user-generated content transmitted through the platform. The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. To the maximum extent permitted by applicable law, Vinrays Solutions LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

8. Indemnification

You agree to indemnify, defend, and hold harmless Vinrays Solutions LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your content, or your violation of these Terms. Schools are responsible for ensuring that their authorized users comply with these Terms and the Acceptable Use Policy.

9. Intermediary Status

ParentSync operates as an intermediary platform facilitating communication between schools and parents. We claim safe harbor protections under applicable law:

  • India: Section 79 of the Information Technology Act, 2000, which provides intermediary protection where the intermediary does not initiate the transmission, select the receiver, or modify the information contained in the transmission.
  • United States: Section 230 of the Communications Decency Act, which provides that no provider of an interactive computer service shall be treated as the publisher or speaker of any information provided by another information content provider.

We maintain appropriate due diligence, including content moderation and user reporting mechanisms, as required to qualify for these protections.

10. Termination

We reserve the right to suspend or terminate any user account or school subscription, with or without notice, for conduct that we believe violates these Terms, the Acceptable Use Policy, or is harmful to other users, the platform, or third parties. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including indemnification, limitation of liability, and intellectual property) will remain in effect.

11. Governing Law

These Terms are governed by and construed in accordance with:

  • For users in India: The laws of the Republic of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Hyderabad, Telangana.
  • For users in the United States: Applicable federal law of the United States.
  • For users in other jurisdictions: The laws of the Republic of India shall apply, unless local law requires otherwise.
